1. Overview

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "Subscriber") and Anima Technology: Sensors & Tracking Solutions LLC, a limited liability company registered in the State of Texas, United States of America, operating the SENTRICK brand and platform ("Company," "we," "us," or "our").

By purchasing, activating, downloading, accessing, or using any SENTRICK product, device, mobile application, web platform, or service (collectively, "Services"), you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of all SENTRICK Services.

These Terms apply to all users globally, including individuals, families, businesses, institutions, and any other legal entities accessing our Services.

2. Liability Disclaimer

SENTRICK is a passive monitoring and data-relay platform. Our Services are designed solely to provide location data, sensor readings, and notifications to authorized users. The Company bears no responsibility for any outcome — positive or negative — that arises from the use, misuse, reliance upon, or failure of our Services.

Under no circumstances shall the Company, its officers, directors, employees, agents, partners, suppliers, or affiliates be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to your use of, or inability to use, the Services.

3. Scope of Service — What SENTRICK Is and Is Not

SENTRICK provides technology-based monitoring tools intended to assist families, caregivers, pet owners, vehicle owners, and asset managers in staying informed about the location and status of persons, animals, and property under their care or ownership.

SENTRICK is a supplementary awareness tool and must never be used as a substitute for professional emergency services, medical care, law enforcement, or physical security measures.

4. No Emergency Services

The Company shall bear no liability whatsoever for any injury, death, loss, damage, or harm resulting from a User's reliance on SENTRICK Services in an emergency situation, or from any failure, delay, interruption, or inaccuracy of the Services during such a situation.

SOS features, panic buttons, and alert notifications included in certain SENTRICK products are designed to notify designated contacts chosen by the User. These features do not contact emergency services and do not guarantee any response. The Company makes no representation that any designated contact will respond to any alert.

5. No Medical Advice or Medical Intervention

SENTRICK products designed for use with individuals with medical conditions — including but not limited to Alzheimer's disease, epilepsy, dementia, visual impairments, special needs, or any other health condition — are monitoring tools only. They do not constitute medical devices, do not provide medical advice, and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Any health-related data or readings provided by SENTRICK sensors (including but not limited to heart rate, temperature, activity levels, or fall detection) are provided for informational and awareness purposes only. Such data should not be relied upon for medical decision-making and does not replace professional medical evaluation, diagnosis, or treatment.

The Company is not a healthcare provider and assumes no responsibility for any medical outcomes, health deterioration, injury, or death related to the use or non-use of our Services. Users of SENTRICK products for medical-adjacent purposes must always maintain appropriate professional medical care and supervision.

6. No Physical Security or Asset Protection

SENTRICK products designed for tracking vehicles, property, valuables, safes, livestock, or any other asset are location and monitoring tools only. The Company does not provide, and is not responsible for, the physical security, protection, recovery, or defense of any person, animal, or property.

In the event of theft, loss, damage, vandalism, or any other adverse event affecting tracked assets, SENTRICK's sole function is to provide location data to the User. The Company has no obligation to take any action, contact any authority, or intervene in any manner. Recovery of stolen or lost assets is the sole responsibility of the User and applicable law enforcement authorities.

The Company shall not be liable for any loss, theft, damage, or destruction of any tracked person, animal, or property, regardless of whether SENTRICK Services were functioning correctly, malfunctioning, or unavailable at the time of such event.

7. User Responsibility and Obligations

Users are solely responsible for: (a) ensuring that all individuals being tracked have provided informed consent where required by applicable law; (b) using SENTRICK Services in compliance with all applicable local, national, and international laws and regulations; (c) maintaining appropriate emergency plans, medical care arrangements, and security measures independent of SENTRICK Services; (d) ensuring that designated contacts and emergency responders are aware of their roles and responsibilities; and (e) maintaining adequate internet connectivity, device battery levels, and subscription status to ensure Service availability.

Users acknowledge that GPS tracking accuracy may be affected by environmental conditions, building structures, network coverage, device battery levels, and other factors beyond the Company's control. SENTRICK makes no guarantee of continuous, uninterrupted, or error-free Service availability.

8. Data Accuracy and Service Availability

While SENTRICK strives to provide accurate and timely location data, the Company makes no warranty regarding the accuracy, completeness, timeliness, or reliability of any data provided through the Services. Location data may be delayed, inaccurate, incomplete, or unavailable due to factors including GPS signal strength, cellular network availability, device malfunctions, software errors, or other technical limitations.

The Company reserves the right to suspend, modify, or discontinue any aspect of the Services at any time without prior notice. The Company shall not be liable for any damages resulting from service interruptions, data inaccuracies, or service discontinuation.

9. Indemnification

You agree to defend, indemnify, and hold harmless Anima Technology: Sensors & Tracking Solutions LLC, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including privacy rights; (d) your violation of any applicable law or regulation; or (e) any claim that your use of the Services caused damage to a third party.

This indemnification obligation shall survive the termination of your use of the Services and these Terms.

10. Limitation of Liability

In no event shall the Company's total cumulative liability to you for all claims arising from or related to the Services exceed the total amount paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, the Company's liability shall be limited to the greatest extent permitted by law.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

Before initiating any legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with proceedings conducted in Houston, Texas.
